Terms of Service
Welcome to Fanrise. By accessing or using the Fanrise platform ("Fanrise", "we", "our", or "us"), you agree to be bound by these Terms of Service.
1. Description of Service
Fanrise is a social platform centered around music discovery that allows users to create, obtain, display, and transfer Discovery Passes™.
Discovery Passes™ represent a record linking a user to publicly available data about an artist at a specific point in time.
Fanrise also operates a secondary marketplace where users may list and transfer eligible Discovery Passes™ to other users.
2. Eligibility
You must be at least 13 years old to use Fanrise.
By using the platform, you represent and warrant that you meet this requirement and can form a binding agreement under applicable law.
3. Accounts
You are responsible for your account credentials and all activity conducted under your account.
- You must provide accurate and complete information.
- You are responsible for maintaining the security of your account.
- You are responsible for all activity under your account.
- Fanrise may suspend or terminate accounts at any time, with or without notice, for any reason, including violations of these Terms.
4. Discovery Passes™
Discovery Passes™ are digital items created within the Fanrise platform and intended for personal use, collection, display, and transfer within Fanrise.
- They are representations of publicly available data at a specific moment in time.
- They do not represent ownership of any artist, music, or intellectual property.
- They do not represent an investment, security, or financial instrument.
- They do not guarantee any financial return, appreciation, or resale value.
- Fanrise does not guarantee that any Discovery Pass™ will hold or retain value.
5. Marketplace
Fanrise provides a marketplace that allows users to list and transfer Discovery Passes™.
Marketplace features, limits, listing controls, and eligibility rules may be adjusted by Fanrise from time to time to maintain platform integrity.
5.1 Pricing
Primary sales are offered at a fixed price determined by Fanrise.
Secondary market prices are determined entirely by users.
5.2 Fees
Fanrise does not charge a fee on primary purchases.
- On secondary market sales, Fanrise charges 10% of the transaction amount, or a $1.50 minimum fee, whichever is greater.
- Fees are subject to change at any time.
5.3 Transactions
Primary purchases may be eligible for a full refund within fourteen (14) days if the item has not been sold or transferred after purchase.
Secondary market purchases are final and are not eligible for standard refunds, except in cases of verified fraud or unauthorized transactions reviewed by Fanrise.
Users are responsible for reviewing listings before purchasing, and Fanrise may limit or deny refunds in cases of abuse or false claims.
5.4 Off-Platform Transactions
Fanrise does not support or recognize transactions conducted outside the platform.
Users engage in off-platform transactions at their own risk.
6. Payments
Payments are processed through third-party providers (including Stripe and related services).
Fanrise does not store full payment details and is not responsible for delays, errors, outages, or failures caused by third-party payment providers.
6.1 Seller Tax Responsibility
Users who sell Discovery Passes™ on Fanrise are solely responsible for determining and fulfilling any applicable tax obligations arising from their transactions.
- Fanrise does not provide tax advice.
- Fanrise does not calculate or remit taxes on behalf of users except where required by law.
- Fanrise does not issue tax forms unless legally required.
- Sellers are responsible for reporting income, paying applicable taxes, and complying with local, state, federal, and international tax laws.
- Fanrise may collect and report transaction data to tax authorities where required by law.
6.2 Seller Payouts
Users may receive payouts for eligible marketplace transactions subject to platform and provider requirements.
- A minimum balance of $20.00 is required before a payout may be issued.
- Seller proceeds from eligible secondary sales may be held for at least fourteen (14) days for payment processing, clearing, and fraud prevention before becoming withdrawable.
- Additional delays may occur due to payment provider requirements or account review.
- Payouts are processed through third-party providers (including Stripe Connect), and Fanrise does not control the timing or availability of funds once released to those providers.
- Fanrise reserves the right to delay, withhold, or cancel payouts in cases of suspected fraud, disputes, or violations of these Terms.
7. Fraud and Reversals
Fanrise reserves the right to investigate suspicious activity, suspend or terminate accounts involved in fraud, and reverse transactions when necessary.
In cases involving fraudulent funds or activity, Fanrise may reverse transactions, return funds to affected parties, and reassign ownership of Discovery Passes™ based on transaction history at Fanrise’s sole discretion.
7.1 Account Holds and Investigations
Fanrise reserves the right to monitor accounts and transactions for fraud, abuse, or suspicious activity and may act without prior notice when necessary to protect the platform or comply with law.
- Temporarily or permanently restrict account access.
- Freeze accounts or marketplace activity.
- Place holds on funds or Discovery Passes™.
- Delay or suspend transactions or payouts.
- Require users to provide information reasonably requested during an investigation.
7.2 Clawbacks and Recovery of Funds
Fanrise reserves the right to recover funds or reverse transactions in cases involving fraud, chargebacks, payment disputes, unauthorized payment methods, or violations of these Terms.
- Reversing marketplace transactions.
- Reassigning ownership of Discovery Passes™.
- Withholding or deducting funds from user balances.
- Recovering amounts owed through available legal means.
8. Prohibited Conduct
Users may not engage in conduct that undermines platform integrity, other users, or lawful operation of the Fanrise marketplace.
- Engage in fraud, abuse, or manipulation of the platform.
- Use stolen or unauthorized payment methods.
- Attempt to exploit or disrupt the marketplace.
- Impersonate other users.
- Violate applicable laws.
8.1 Payment and Platform Misuse
Users may not use Fanrise for unauthorized or illegal financial activity. Fanrise reserves the right to report suspicious activity to payment providers and relevant authorities.
- Attempting to circumvent payment processing systems.
- Money laundering, chargeback abuse, or financial manipulation.
- Any illegal or prohibited financial activity.
9. User Content
Users may upload and create content on Fanrise, including profile information and future social features.
By submitting content, you grant Fanrise a non-exclusive, worldwide, royalty-free license to display, host, use, and promote such content in connection with the platform.
Users are responsible for ensuring they have rights to the content they upload. Fanrise complies with applicable copyright laws and responds to valid DMCA takedown requests.
10. Intellectual Property
Fanrise does not use artist likenesses or imagery unless expressly authorized.
Artist names may be used solely to reference publicly available data.
All Fanrise platform elements, including design, branding, and functionality, are owned by Fanrise and protected by applicable law.
11. Termination
Fanrise may suspend or terminate accounts, remove listings, reverse transactions, or restrict access at any time, for any reason, without liability, subject to applicable law.
12. Disclaimers
Fanrise is provided on an "as is" and "as available" basis.
Fanrise makes no guarantees regarding platform availability, data accuracy, marketplace outcomes, or value/resale potential of Discovery Passes™.
13. Limitation of Liability
To the fullest extent permitted by law, Fanrise is not liable for loss of value of Discovery Passes™, user-to-user transactions, or indirect, incidental, consequential, special, exemplary, or punitive damages.
Fanrise is not liable for loss of profits, data, goodwill, or business interruption resulting from use of the platform.
14. Indemnification
You agree to indemnify and hold harmless Fanrise, its affiliates, officers, directors, employees, and agents from claims, damages, liabilities, losses, and expenses arising from your use of the platform, transactions, or violations of these Terms or applicable law.
15. Governing Law
These Terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to conflict-of-law principles.
16. Dispute Resolution and Arbitration
Please read this section carefully. It affects your legal rights.
Any dispute, claim, or controversy arising out of or relating to these Terms or use of Fanrise shall be resolved through binding arbitration rather than in court, except where prohibited by law.
Arbitration will be conducted by a neutral arbitrator in accordance with the rules of the American Arbitration Association (AAA), and judgment on the award may be entered in any court of competent jurisdiction.
Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction where necessary.
If arbitration is found unenforceable in your jurisdiction, disputes shall be resolved in accordance with the Governing Law section.
- Arbitration will be conducted on an individual basis.
- You waive the right to a trial by jury.
- You waive the right to participate in a class action, except where such waiver is unenforceable under applicable law.
17. Class Action Waiver
To the fullest extent permitted by law, you agree that claims or disputes against Fanrise will be brought solely in your individual capacity and not as a plaintiff or class member in any class, collective, or representative proceeding.
You expressly waive any right to participate in a class action lawsuit, class-wide arbitration, or other representative action. If this waiver is found unenforceable, the Dispute Resolution and Arbitration section will not apply to that claim.
18. Electronic Communications and Notices
By using Fanrise, you consent to receive communications from Fanrise electronically, including by email, in-product notices, and website postings.
You agree that electronic communications satisfy legal communication requirements, including that communications be in writing, unless applicable law requires otherwise.
19. Force Majeure
Fanrise is not liable for failure or delay in performance caused by events beyond reasonable control, including outages, cyber incidents, labor disputes, government actions, natural disasters, or third-party infrastructure failures.
20. Severability
If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect to the fullest extent permitted by law.
21. No Waiver
Failure by Fanrise to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.
22. Assignment
You may not assign or transfer these Terms or your rights under them without prior written consent from Fanrise. Fanrise may assign these Terms, in whole or in part, at any time without restriction.
23. Entire Agreement
These Terms, together with any policies and notices incorporated by reference, constitute the entire agreement between you and Fanrise regarding the platform and supersede prior or contemporaneous understandings related to the same subject matter.
24. Changes to Terms
Fanrise may update these Terms at any time.
Continued use of the platform after updated Terms become effective constitutes acceptance of the revised Terms.
